Holiday Park Foundation Project

As of 10/07/2006 the Boards of UTE and ANTEL, referred to our institution, a draft statute for the creation of a Foundation Holiday Park, in order to meet our opinion.

The opinion of the APF, was released through the document that follows, which was approved by Extraordinary General Assembly on 12/08/2006.

GENERAL ON THE PROPOSED CREATION OF THE FOUNDATION FOR HOLIDAY PARK OFFICIALS UTE - ANTEL, PROPOSED BY THE BOARDS OF BOTH COMPANIES TO OUR FACILITY.

1) The Association for Promotion of Officers Holiday Park UTE and ANTEL, hereafter APF, agrees with the strategic objective by the boards of UTE and ANTEL, regarding to achieve self-sustainability, Holiday Park, maintaining social the colony resort has fulfilled since 1947, allowing officials of both companies and their families to continue enjoying the park, its vacation.

Nevertheless, all social work, involves some allowance or expenses from the point of view, which later becomes profit from the social point of view, to be understood as an investment in people.

The APF believes that it would be desirable that the park is maintained without the benefit of both companies, or at least with the lowest subsidy, which will demand the application of maximum efforts to achieve efficient management .

2) understand the vital importance to maintain the character of "Cologne Holiday" , as opposed to the concept of "hotel". As the first refers to a proper place for members of UTE and ANTEL, for which they feel an attachment forged by generations of grandparents, parents and children who visited the park, contributed labor and money and still continue working for maintain it.

Hotel in contrast, is a place of recreation and rest, that does not feel like himself. We can never reach the public in a hotel, attachment and feelings that are generated by a colony resort.

The type of recreational activities taking place at a resort colony, are not equal to those of a hotel. At that, the recreation of a complementary nature of integration, typical of people who know and feel belonging to a "family."

These feelings toward the Holiday Park are the major source of support that the UTE and ANTEL officials made through the APF.

3) The APF understands and accepts that to achieve the strategic objective, we must take action to achieve simultaneously, two immediate objectives: Increase revenue and lower costs.

3.1. Increased revenues, in turn, to achieve this goal shall be two types of actions: Provide park services to the market and take a clear pricing policy.

3.1.1. offer services to market : The APF believes that it is possible to provide park services in low season, to an audience outside the scope of UTE and ANTEL. This offer is a clear competition with the hotel market, therefore it is necessary to adapt the legal and fiscal Holiday Park.

The opening to the market should take care of the holiday colony character, expressed in paragraph 2). Therefore suggest a restricted open only to groups related to the type of recreation offered , for example, other public officials, senior groups, schools, etc. It is also desirable to operate the infrastructure that the Park has, for the congresses.

We wish to remind the economic self-sustainability study conducted by economist and hotels, Eq Juan Carlos Píriz, at the request of the APF, which addresses these issues in greater depth. This study is known to the boards of both companies.

APF unacceptable, that the desire to incorporate external audiences, complete displacing officials UTE and ANTEL , as has been the case for the award of 100% of Park facilities, the company EMITOL SA (R. PV 2005-325).

A massive opening to bring the whole market as inevitable consequence, the impossibility of attendance at Park, on the part of officials of UTE and ANTEL.

should therefore ensure the Statute of the Foundation, the priority of participation of officials of both companies, especially in the high season, ie long weekends, summer months, a week of tourism, vacation July spring.

Article 4 The capacity of the Statute of the Foundation grants an absolute freedom they lead the same, in order to dispose of movable and immovable property etc., And to conclude any contract with individuals and public institutions and / or private.

could conclude an agreement to operate the colony through a private operator, both domestically and abroad.

This seems to utmost gravity, as the interest of any foreign operator never not coincide with the social purpose of the colony . Therefore necessary to understand the layout of this article.

3.1.2. fee policy: Another element to note is the rate that is fixed external audiences.
The APF believes that although the scale attached to the UTE and ANTEL officials must be below costs, it is not possible to apply the same criteria to rate for individuals. Therefore it should be clearly defined in the Statute of the Foundation.

For APF is unacceptable the current situation, which is defined rates for individuals, regardless of the actual total cost , namely: staff salaries, telephone costs, electricity and other (R. PV 2005 - 200, resulting III).

This situation has led the state through the UTE and ANTEL is subsidizing rates for individuals with affluent, for whom competition is very accessible to the park several times a year, limiting the possibility of concurrent officials UTE and ANTEL.

3.2. Rebate costs: This line of action is closely linked to the salary of workers of the Holiday Park, since the latter constitutes a first order, the establishment costs.

First APF expresses its respect for all workers in the Holiday Park and will all retain their job and salary level . In particular we refer to as staff who are of UTE, because they are our peers. As workers, we demand the same right to all officers of the Holiday Park, a living wage.

Moreover, the new administration will to create the foundation, should have broad powers in order to decide on their staff, if you want to manage effectively to achieve a degree of competitiveness in the market.
Park
balance for 2005 is clear that of total gross revenue for hosting and selling products, 99% goes to salaries . This percentage is distributed 77% to pay workers wages that line in the template and 22% joint venture payment of wages by private contractors.

On the other hand, if we only consider the total gross revenue per stay
($ 49,729,014) these do not cover expenses for salaries only of officials of UTE ($ 55,287,298).

The APF believes that it is not efficient, running a resort colony, paying salaries of a power transmission company or telecommunications.

seems logical that the wage level of the Holiday Park officials should be commensurate to the hotel market and vacation colonies.

should therefore be clearly stated in the Statute of the Foundation, the possibility that after a careful study of staffing needs, the Board may ask any staff dispense UTE, assuring that the job in another department or UTE ANTEL, as well as their salary level.

should also be established in the statute that occurs as a decline in this group of staff, either by retirement, transfer, retirement, incentive or other, can not be held this position for another officer from any state enterprise.

Only through an austere and efficient administration, the Park will achieve compliance survive the social work that benefits all workers UTE and ANTEL.

4) on Chapter III of the Statute - Authorities .

4.1. Historical of the Board of Holiday Park.

Holiday Park was created by R. 46-40684 of 1946 Board of Plants and Cell state (UTE).

So Park property was purchased with the proceeds from the exploitation of the two businesses of the company namely the operation of electrical service and telephone service operation.

In principle, the officers engaged in the operation of both businesses shared the same company under the symbol UTE.

In 1974, the old telephone company and the State Power Plants, is divided into two new companies, thus separating the administration of the two original shops. On the one hand there is the National Administration of Power Plants and Transmission (retaining the acronym UTE).

other hand there is the National Telecommunications Administration (ANTEL).

The Park Board passed to be composed of four representatives and two
UTE ANTEL. Obey

this representation to the number of staff who had at that time for each company and considering the possible use of the park, which was estimated by them.

This situation has changed over time, not only in the number of officials from both companies but also the use that they have made the park, most hosted alternately between both companies, making financial contributions of both are virtually identical.

4.2. History of the APF : On the Pro - Works, born in the first hour of the Park, May 18, 1948, is composed always, by officials who have worked in the services of Electric Power ( Today UTE) and the Telephone Services (now ANTEL).

Through the APF, these officials have worked with the Park, not just working hours when the building itself but also with the purchase of materials and even with the donation of land which today is part of the capital's housing Park.

The APF brings together thousands of workers, who have never made a difference between them belong to one or another company and working together with one common goal: the Holiday Park.

In recent years, APF has had a clear role in the defense of the park, when it was questioned in the press "as a luxury" that could not afford public officials.

Our institution has also provided economic studies, Legal and Production Sector, in order to demonstrate the economic viability of the colony resort.

4.3. Our proposal: It is clear that the Holiday Park is a condominium owned by two companies (present UTE and ANTEL). This point is clearly demonstrated in the report on the legal nature of the Park, performed by the renowned lawyer Dr. Carlos Del Piazzo, a charge of APF and is known to both directories.

For these reasons the APF understand and feel that the Holiday Park is a holiday colony officials UTE and ANTEL, owned by both companies equally . urge the Boards of both companies to manage the park, taking into account this fundamental historical principle .

Both companies have equal rights and responsibilities to the Park and this should be clearly reflected in the administration shared the same. Therefore, the new Board should be composed of equal numbers of representatives of UTE and ANTEL, rotated the positions of highest authority between the two companies (President, Vice-Secretary General and Treasurer).

4.3.1. Workers' representation :
With the new Government also began a new style of communication between workers, employers and government, as perhaps not seen before in Uruguay. We welcome this new style of government, which allows for greater employee participation in the responsibilities of government.

Given that the main objective of the Holiday Park is to provide a benefit to workers UTE and ANTEL, understand appropriate to secure the commitment of these , through a representative on the new Board of Directors.

Just as trade associations, and SUTEL AUTE, representing workers in terms their union rights (salary, career functional, etc.) APF is the representative of the employees of both companies simultaneously, as regards their rights to the Holiday Park.

the foregoing in relation to the commitment of our institution with the Park, we understand that the representative of workers in the new Board should be proposed by the APF, with the ratification of both groups (AUTE and SUTEL).

In short, our proposal is that the new Board of Directors is composed as follows:
- Three representatives appointed by the Board of UTE.
- Three representatives appointed by the Board of ANTEL.
- A representative of the employees of both companies, appointed by the Directors of the APF and ratified by the directives and SUTEL AUTE.
- A trustee appointed under the conditions established in the draft Statute.

The offices of President, Vice-Secretary General and Treasurer, should be rotating among the four representatives of UTE and ANTEL.

5) About Production Sector:
The APF, adheres to the spirit expressed in article 3 º b) of the draft Statute of the Foundation as to maintain current production areas, farm, garden , dairy, nursery, poultry and pigs.

This does nothing to continue the spirit in which they were created in these sectors of production, ie supplying the Park and be a factor in attracting and teaching. Nevertheless, and always with the spirit of achieving efficient management, we argue that there should be a careful study of the advisability of such, from the point of view, not for profit, but not to generate losses that eventually undermines the sustainability of the park.

should close those areas clearly deficient, or at least reduce to a minimum, focusing on education, incorporating self-sustainable production criteria to protect the environment, as is the case of an organic garden, humus production, management and medicinal plants.

recall that regard, the FPA commissioned a diagnostic study and proposals on
productive areas of the park, by the environmental group Friends of the Earth Network.

This study is available to both Boards.

6) On Article 15 degrees. Dissolution and Liquidation :
This article leaves open the possibility that the assets of the Foundation, be transferred to a third party may be neither UTE and ANTEL.
APF is the will of all donations to the Park, are owned by this or last case in the State, through UTE and ANTEL, in equal shares.
